1. INTRODUCTION

1.1. These Terms and Conditions ("Agreement") govern the sale and delivery of products ("Products") by Teracoat (Pty) Ltd. ("Teracoat", "we", "us", "our").

1.2. This Agreement applies to all orders placed by clients ("Client", "you") and supersedes any prior agreements or conditions.

1.3. By placing an order, you agree to these Terms and Conditions unconditionally; any differing conditions from the Client are excluded unless agreed to in writing.

2. ORDERS, ACCEPTANCE, AND CANCELLATION

2.1. Orders must be placed through our on-line form, through our office quoting system or a completed trade application form and should include accurate information for processing.

2.2. Cancellations are accepted with applicable handling fees, on condition that returns are not opened or damaged.

2.3. Products must be returned within 30 days from date of shipment. Orders may not be cancelled after Teracoat has received payment for products ordered.

2.4 Products will only be shipped if there is stock availability, we work to a 2- 3 working day lead-time for despatch.

2.5. Teracoat cannot be held liable for delays resulting from raw material or manufacturing interruptions and shortages.

2.6. Teracoat reserves the right to amend prices based on quantity changes or client specifications.

3. PRICES

3.1. Prices are subject to change and exclude all taxes, packaging, and delivery charges unless otherwise stated.

3.2. A discount may apply at Teracoat’s discretion and can be revoked at any time.

3.3 All prices are ex-works JHB  factory

4. PAYMENT TERMS

4.1. Orders are to be settled in full before delivery unless otherwise agreed and a credit application has been verified.

4.2. Teracoat reserves the right to require security for payment and may withhold future orders if payment is not received.

5. DELIVERY

5.1. Risk of loss or damage transfers upon delivery, while ownership remains with Teracoat until full payment is received.

5.2. Clients must inspect products upon delivery and report any discrepancies within 7 days.

6. WARRANTIES AND LIABILITY

6.1. A copy of Teracoat’s warranty is available on request, please request from sales@teracoat.co.za .

6.2. Teracoat shall not be liable for indirect or consequential damages arising from the use of their products.

6.3. A warranty claim cannot exceed the original value of the invoice under any circumstances.

6.4. All warranty claims are for replacement product only and are ex. works JHB factory South Africa.

6.5 Replacement product does not include transport.

7. CONFIDENTIALITY

7.1. All confidential information provided by Teracoat must be treated with care and not disclosed to third parties without written consent.

8. INTELLECTUAL PROPERTY

8.1. All intellectual property rights associated with Teracoat’s Products remain the property of  Teracoat (Pty) Ltd. and unauthorized use is prohibited.

9. GOVERNING LAW

9.1. This Agreement is governed by the laws of the Republic of South Africa. Any disputes will be resolved in South Africa via mutually agreed mediation or in the courts of South Africa.

10. GENERAL

10.1. Teracoat may amend these Terms and Conditions at any time without prior notice, effective immediately upon publication.

10.2. This Agreement constitutes the entire understanding between the parties regarding the subject matter herein
